1. General Rules and Definitions
- If you choose to continue to use Livewriters.com (the “Site”), Livewriters mobile sites and website applications, any of the features of this site, including but not limited to RSS, API, podcast and other downloads (collectively, the “LW Services”), you acknowledge that you have read these Terms of Service and hereby agree to abide by all of the terms and conditions of these Terms of Service (“Terms of Use”, “Terms & Conditions”, “Terms of Sale” or “Terms of Service”) between you and Livewriters (“LW”, “us” or “we” “Livewriters”). Livewriters ™ is a DBA of Creative Management Partners, LLC, the owner of this site. All references to Livewriters herein shall inure to Creative Management Partners, LLC.
- We may change, add or remove portions of these Terms of Service at any time, which shall become effective immediately upon posting. It is your responsibility to review these Terms of Service prior to each use of the Site and by continuing to use this Site, you agree to any changes.
- If any of these rules or any future changes are unacceptable to you, you may cancel your subscription by sending e-mail to: Subscriptions@Livewriters.com (SEE SECTION 10.1 REGARDING TERMINATION OF SERVICE). Your continued use of the services now, or following the posting of notice of any changes in these operating rules, will indicate acceptance by you of such rules, changes, or modifications.
- We may change, suspend or discontinue any aspect of the Services at any time, including the availability of any Services feature, database, or content. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.
2. Content of the Services
- The contents of the Services, including the Site, are intended for your personal, noncommercial use. All materials published on the Services (including, but not limited to news articles, photographs, images, illustrations, audio clips and video clips, also known as the “Content”) are protected by copyright and owned or controlled by Livewriters or the party credited as the provider of the Content. You shall abide by all additional copyright notices, information, or restrictions contained in any Content accessed through the Service.
- The Services and Content are protected by copyright pursuant to U.S. and international copyright laws. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce (except as provided in Section 2.3 of these Terms of Service), create new works from, distribute, perform, display, or in any way exploit, any of the Content or the Services (including software) in whole or in part.
- You may download or copy the Content and other downloadable items displayed on the Services for personal use only, provided that you maintain all copyright and other notices contained therein. Copying or storing of any Content for other than personal use is expressly prohibited without prior written permission from Livewriters, or the copyright holder identified in the copyright notice contained in the Content.
- The Content of the Services is owned or licensed to LW. Certain content is furnished by the Third Parties, which will not be liable for any delays, inaccuracies, errors or omissions in any such Content, or in the transmission or delivery of all or any part thereof, or for any damages arising there from.
3. User Generated Content: Submissions Including Comments, Reader Reviews and More
- You shall not upload to or distribute or otherwise publish on to the Services any libelous, defamatory, obscene, pornographic, abusive, or material which otherwise violates any applicable ordinance, law, rule or regulation. Be courteous. You agree that you will not threaten or verbally abuse other Members, use defamatory language, or deliberately disrupt discussions with repetitive messages, meaningless messages or “spam.” Use respectful language. Like any community, the online conversation flourishes only when our Members feel welcome and safe. You agree not to use language that abuses or discriminates on the basis of race, religion, nationality, gender, sexual preference, age, region, disability, etc. Hate speech of any kind is grounds for immediate and permanent suspension of access to all or part of the Services. Personal attacks are a direct violation of these Terms of Service and are grounds for immediate and permanent suspension of access to all or part of the Service.
- The Services shall be used only in a noncommercial manner. You shall not, without the express approval of Livewriters, distribute or otherwise publish any material containing any solicitation of funds, advertising or solicitation for goods or services.
- You acknowledge that any submissions you make to the Services (i.e., user-generated content including but not limited to: comments, forum messages, reviews, text, video, audio and photographs, as well as computer code and applications) (each, a “Submission”) may be edited, removed, modified, published, transmitted, and displayed by Livewriters and you waive any rights you may have in having the material altered or changed in a manner not agreeable to you. Submissions made to the Services may also be included in our RSS feeds, APIs and made available for republishing or distribution through other formats.
- You grant Livewriters a perpetual, nonexclusive, world-wide, royalty free, sub-licensable license to the Submissions, which includes without limitation the right for Livewriters or any third party it designates, to use, copy, transmit, excerpt, publish, distribute, publicly display, publicly perform, create derivative works of, host, index, cache, tag, encode, modify and adapt (including without limitation the right to adapt to streaming, downloading, broadcast, mobile, digital, thumbnail, scanning or other technologies) in any form of media now known or hereinafter developed, any Submission posted by you on or to the Services or any other Web site owned by Livewriters , including any Submission posted on or to the Services through a third party.
- You are solely responsible for the content of your Submissions. However, while Livewriters does not and cannot review every Submission and is not responsible for the content of these messages, Livewriters reserves the right to delete, move, or edit Submissions that it, in its sole discretion, deems abusive, defamatory, obscene, in violation of copyright or trademark laws, or otherwise unacceptable.
- By making a Submission, you are consenting to its display and publication on the Site and in the Services and for related online and offline promotional uses.
- Any person involved in or affiliated with the production of a work reviewed on Livewriters.com or elsewhere in the Services may not submit a Readers’ Review for that work or competing works.
4. Access and Availability of Services and Links
- The Services contain links to other related World Wide Web Internet sites, resources, and advertisers. Since we are not responsible for the availability of these outside resources, or their contents, you should direct any concerns regarding any external link to the site administrator or Webmaster of such site.
5. Representations and Warranties
- You represent, warrant and covenant (a) that no materials of any kind submitted through your account will (i) violate, plagiarize, or infringe upon the rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights; or (ii) contain libelous or otherwise unlawful material; and (b) that you are at least thirteen years old. You hereby agree to indemnify, defend and hold Livewriters and all officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the “Indemnified Parties”) harmless from and against any and all liability and costs, including, without limitation, reasonable attorneys’ fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach by you or any user of your account of these Terms of Service or the foregoing representations, warranties and covenants. You shall cooperate as fully as reasonably required in the defense of any such claim. Livewriters reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.
- Livewriters does not represent or endorse the accuracy or reliability of any advice, opinion, statement, or other information displayed, uploaded, or distributed through the Services by any user, information provider or any other person or entity. You acknowledge that any reliance upon any such opinion, advice, statement, memorandum, or information shall be at your sole risk.
THE SERVICES AND ALL DOWNLOADABLE PRODUCTS ARE DISTRIBUTED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOU HEREBY ACKNOWLEDGE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK.
6. Registration and Security
- As part of the registration or account creation process, you will create login credentials by selecting a password and providing an email address. You also have to give us certain registration information, all of which must be accurate and updated. Each registration is for a single user only. You are not allowed to share your registration login credentials or give your login credentials to anyone else. We may cancel or suspend your access to the Livewriters Services if you share your login credentials. You are responsible for maintaining the confidentiality of your password, which you will not have to reveal to any representative or agent of Livewriters. You may not (i) select or use the login credentials of another person with the intent to impersonate that person; (ii) use login credentials in which another person has rights without such person’s authorization; or (iii) use login credentials that we, in our sole discretion, deem offensive. Failure to comply with the foregoing shall constitute a breach of these Terms of Service, which may result in immediate suspense or termination of your account.
- Please notify Subscriptions@Livewriters.com of any known or suspected unauthorized use(s) of your account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password or credit card information.
- You must be 13 years or older to subscribe to all parts of the Services.
- You are responsible for all usage or activity on your Livewriters.com account, including use of the account by any third party authorized by you to use your login credentials. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, at our sole discretion, and we may refer you to appropriate law enforcement agencies.
7. Fees and Payments
- We reserve the right at any time to charge fees for access to portions of the Services or the Services as a whole. However, in no event will you be charged for access to the Services unless we obtain your prior agreement to pay such charges. Thus, if at any time we require a fee for portions of the Services that are now free, we will give you advance notice of such fees. You may cancel your account at any time. All new fees, if any, will be posted prominently on the Site and in other appropriate locations on the Service. You shall pay all fees and charges incurred through your account at the rates in effect for the billing period in which such fees and charges are incurred, including, but not limited to charges for any digital products or services offered for sale through the Services by us or by any other vendor or service provider. All fees and charges shall be billed to and paid for by you. You shall pay all applicable taxes relating to use of the Services through your account.
8. Communications Between Livewriters and Users
- If you indicate on your registration form that you want to receive such information, we, our owners and assigns, will allow certain third party vendors to provide you with information about products and services.
- Livewriters reserves the right to send electronic mail to you for the purpose of informing you of changes or additions to the Service.
- Livewriters may contact you via e-mail regarding your participation in user surveys, asking for feedback on current Services or prospective products and services. Unless otherwise disclosed to you, this information will be used to improve the Services and better understand our users, and any information we obtain in such surveys will not be shared with third parties, except in aggregate form.
9. Digital Media Licenses
- You shall have no rights to the proprietary digital media and related documentation, or any enhancements or modifications thereto, provided to you in order to access the Services (“Digital Media”). You may not sublicense, assign or transfer any licenses granted by Livewriters.com, and any attempt at such sublicense, assignment or transfer shall be null and void. You may download one copy of such digital media for archival purposes only. You may not otherwise copy, distribute, modify, reverse engineer, or create derivative works from Digital Media.
10. Account Termination
- You may terminate your account at any time by e-mail at Subscriptions@Livewriters.com. Upon termination, you will receive an automated confirmation via e-mail that the cancellation was processed, and your access will be suspended within 48 hours.
- Livewriters may, in its sole discretion, terminate or suspend your access to all or part of the Services for any reason, including, without limitation, breach or assignment of these Terms of Service.
11. Miscellaneous
- These Terms of Service have been made in and shall be construed and enforced in accordance with New York law. Any action to enforce these Terms of Service shall be brought in the federal or state courts located in New York City, New York.

- You agree to report any copyright violations of the Terms of Service to Livewriters as soon as you become aware of them. In the event you have a claim of copyright infringement with respect to material that is contained in the Livewriters.com service, please promptly notify Subscriptions@Livewriters.com.
12. Commenting Policy
- The general public is allowed to comment on any content published by Livewriters after registering.
- In the spirit of free speech that encourages debate without the fear of retaliation; fictitious usernames will be allowed for comments. Livewriters will protect the identities of those who register to comment anonymously, provided that the user has an active email. However freedom of speech comes with a responsibility to post intelligent and articulate comments that are free of profanity, foul or discriminatory language and/or personal attacks that are malicious and libelous. Livewriters reserves the right to remove comments that violate this policy.
13. Disclaimer
- The Web Site is owned and operated by Creative Management Partners, LLC, a Connecticut corporation DBA Livewriters. Your access to and use of the Web Site and Service(s), including any purchases for products and service(s) (the “Service(s)”) sold via the Web Site, is exclusively governed by these Terms of Use. BY ACCESSING OR USING OUR WEB SITE AND/OR SERVICE(S), YOU ACCEPT AND AGREED TO BE BOUND BY THESE TERMS OF USE AS LIVEWRITERS MAY MODIFY THEM FROM TIME TO TIME. The data contained in our Web Site and/or Service(s) is for entertainment, educational and informational purposes only and is not represented to be error free. Livewriters attempts to ensure that the data provided or otherwise displayed on our Web Site and/or Service(s) is accurate. However, the Web Site and/or Service(s) and its contents are provided on an “as is, as available” basis. Use of the Web Site and/or Service(s) and its contents is at the user’s sole risk. Livewriters does not warrant that any functions of the Web Site and/or Service(s) will be uninterrupted or error-free, that defects will be corrected, or that the Web Site and/or Service(s) will be free from viruses or other harmful components. Any links to information not associated with Livewriters are provided as a courtesy and do not constitute an endorsement by Livewriters or its licensors as to any linked materials. If any provision of these Terms of Use or any application thereof is held to be invalid or unenforceable, that provision shall be deemed severable and the remainder of the Terms of Use shall not be affected.
- Commentaries posted on Livewriters.com are “the opinion of the author and do not necessarily reflect the views of neither Livewriters nor its staff”. Some articles may carry this verbiage at the end of controversial articles while other articles may not. Omission of above verbiage does not indicate that Livewriters supports the opinion.
14. Modifications
- Livewriters may at any time make modifications, changes and alterations to the data of our Web Site and Service(s), including the Terms of Use, without prior notice. You are responsible for regularly reviewing these Terms of Use. Your continued use of our Web Site and/or Service(s) following any modifications, changes or alterations shall constitute your acceptance of such modifications, changes or alterations.

- All content of our Web Site and Service(s) is the copyrighted material of Creative Management Partners LLC DBA Livewriters or the appropriate contributor, as applicable, and is protected by United States and international copyright, trademark and other applicable laws. The Web Site and Service(s) includes content, appearances and design, as well as trademarks, product names, graphics, logos, slogans, colors and designs that are the property of Livewriters, or other third parties, as applicable. Except as set forth in the relevant license agreements, nothing contained in our Web Site and/or Service(s) grants to you or any third party any license or other right to any the Livewriters’s intellectual property or any third party’s intellectual property. The appropriate party reserves complete title and interest to its intellectual property on or associated with the Web Site and/or Service(s). You may not copy (other than a copy for personal use, provided you do not remove any trademark, copyright or any other notice contained in the content), modify, distribute, alter, display, reproduce, transfer or republish any of the data of our Web Site and/or Service(s) without obtaining the written permission of the Livewriters, as applicable (to be granted or withheld in each instance at its sole discretion).
16. Applicable Law
- The laws of the State of Connecticut will govern these Terms of Use without giving effect to any principles of conflicts of laws. The parties agree that a condition of using this Web Site and/or Service(s) is that any and all claims arising out of use of this Web Site and/or Service(s) will be tried in the State of Connecticut and Connecticut law will apply. The Connecticut courts in Fairfield County shall have exclusive jurisdiction and venue, and you consent and submit to the personal jurisdiction of such court over any claim, suit, or proceeding arising out of these Terms of Use.
17. Communication
- As part of the Web Site and/or Service(s) you agree to receive a series of ongoing communications regarding the Web Site and/or Service(s). Upon receipt of this communication you will have the option to opt-out or unsubscribe.

20. User Conduct
Livewriters may at any time make modifications, changes and alterations to the data of our Web Site and/or Service(s). Such modifications may include messages boards, email Service(s), chat rooms, and other such Service(s). You agree to not use the Web Site and/or Service(s) to:
- Submit material that is protected by copyright, patent or any other proprietary rights unless you are the owner of such material or have a license or permission from the owner of any such proprietary rights to provide the material;
- Upload, post, email, transmit or otherwise make available any User Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable;
- Harm minors in any way;
- Impersonate any person or entity, including, but not limited to, a Livewriters official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
- Forge headers or otherwise manipulate identifiers in order to disguise the origin of any User Content transmitted through the Web Site and/or Service(s);
- Upload, post, email, transmit or otherwise make available any User Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
- Upload, post, email, transmit or otherwise make available any User Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights (“Rights”) of any party;
- Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation, except in those areas (such as shopping rooms) that are designated for such purpose;
- Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
- Disrupt the normal flow of dialogue, cause a screen to “scroll” faster than other users of the Web site and/or Service(s) are able to type, or otherwise act in a manner that negatively affects other users’ ability to engage in real time exchanges;
- Interfere with or disrupt the Web Site and/or Service(s) or servers or networks connected to the Web Site and/or Service(s), or disobey any requirements, procedures, policies or regulations of networks connected to the Web Site and/or Service(s);
- “Stalk” or otherwise harass another; or
- Collect or store personal data about other users.
- You acknowledge that Livewriters does not pre-screen User Content, but that Livewriters, and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any User Content that is available via the Web Site and/or Service(s). Without limiting the foregoing, Livewriters, and its designees shall have the right to remove any User Content that violates the Terms of Use or is otherwise objectionable in its sole discretion. You agree that you must evaluate, and bear all risks associated with, the use of any User Content, including any reliance on the accuracy, completeness, or usefulness of such User Content. In this regard, you acknowledge that you may not rely on any User Content created by Livewriters or submitted to the Livewriters including without limitation information in message boards, clubs, and in all other parts of the Web Site and/or Service(s).

LIVEWRITERS AND EACH OF THEIR AFFILIATES, THIRD PARTY LICENSORS AND SERVICE PROVIDERS AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEB SITE AND/OR SERVICE(S) AND YOUR USE THEREOF. 23. Subscriptions & Digital Purchases
- If you are a subscriber to any paid Service or purchase any Digital Product in connection with the Web Site (a “Subscribed Service” or “Digital Product”), you are responsible for paying any required subscription fees or purchase price. You hereby authorize Livewriters to charge your credit card, debit card or bank account in connection with the ongoing cost of applicable subscriptions or membership fees for a Subscribed Service. The terms and conditions relating to any Subscribed Service may vary. Unless stated otherwise, your subscription to a Subscribed Service will automatically renew for a term equal to the original term upon expiration of the then-current term, and continually thereafter, unless you terminate the Subscribed Service by phone or e-mail at least 48 hours prior to the renewal date. When you terminate a Subscribed Service, you will not receive a refund for any unused portion of the Subscribed Service. You acknowledge and agree that the authorization to charge your credit card, debit card or bank account for services shall automatically transfer to any successors or assigns that provide the Subscribed Service. You may not assign or transfer your subscription to a Subscribed Service to any other person or entity. If there is a dispute regarding a Subscribed Service, Digital Product or the terms and conditions related thereto and you are denied a refund or other compensation for a valid reason under these Terms of Service, and you file a claim against Livewriters or their respective affiliates, Livewriters or their respective affiliates shall be entitled to collect from you all costs (including attorney’s fees) associated with defending such a claim.
- You are responsible for providing all computer hardware and software or other equipment necessary to gain access to the Subscribed Service. Access to and use of a Subscribed Service or Digital Product requires a combination of an identification name and a password. You must keep this identification name and password confidential and Livewriters shall not be liable for your failure to do so. You must notify Livewriters of any changes with respect to your information, including any changes in credit card, debit card or bank account information, changes in your contact information, any breaches of security, including the loss or unauthorized disclosure of any password or identification. Until you send notification of any such breach of security, you will remain liable for any unauthorized use of a Subscribed Service or Digital Product.
- A Subscribed Service or Digital Product is for the private, non-commercial enjoyment of subscribers only and any other use is strictly prohibited. You agree not to copy, publish, or in any way make available publicly any material from a Subscribed Service without the express written consent of Livewriters Livewriters may limit your access to a certain number of physical locations or equipment or simultaneous logins.
